By signing this Agreement, both parties agree to the following terms and conditions:

1. Services Provided

The Developer agrees to provide website development services as described in the agreed-upon project scope. Services include, but are not limited to:

Custom website design and development
Optional integrations (e.g., reservation systems, e-commerce features, operational tools, etc.)
Legal pages (e.g., Privacy Policy, Terms & Conditions)
Any additional features outlined in the project proposal.

2. Payment Terms

Deposit: A non-refundable deposit of 50% of the total project cost is required before work commences.
Final Payment: The remaining 50% is due upon project completion, prior to the website going live.
Additional Charges: Changes requested after the project is completed and made live may incur additional charges of up to $25 USD per hour. Clients will be informed of any additional costs in advance.
Payment Methods: Payments can be made via WISE, PayPal (the client agrees to pay any PayPal fees), or any other method agreed upon by both parties.

3. Project Timeline

Timeline Agreement: The Developer will provide an estimated timeline for project completion based on the project scope. Delays caused by the Client (e.g., late delivery of content, approvals, or feedback) may result in extensions of the timeline.
Expedited Requests: Rush requests or expedited timelines may be subject to additional fees.

4. Client Responsibilities

To ensure the timely completion of the project, the Client agrees to:

Provide all required materials (e.g., content, images, branding assets) within the specified deadlines unless the Client requests that the Developer provide the content.
Respond promptly to communication and feedback requests.
Grant access to any required platforms, hosting accounts, or third-party tools.

5. Revisions and Changes

9. Termination

Termination by Client: The Client may terminate the Agreement at any time, but the deposit will not be refunded. If work has commenced, the Client may be charged for completed work based on the agreed hourly rate.
Termination by Developer: The Developer reserves the right to terminate the Agreement if the Client breaches any terms or is unresponsive for an extended period. In such cases, the Client will be billed for work completed up to the date of termination.

10. Confidentiality

The Developer agrees to keep all sensitive Client information confidential and to use it solely for the purpose of completing the project. Sensitive information may include, but is not limited to, login credentials, proprietary content, or business information.

11. Limitation of Liability

The Developer is not liable for:

Downtime, errors, or technical issues caused by third-party hosting providers or integrations.
Any loss of data, revenue, or business due to website performance or misuse.
Non-compliance with laws or regulations unless explicitly outlined in the project scope.

12. Dispute Resolution

Any disputes arising under this Agreement will be resolved through negotiation. If a resolution cannot be reached, both parties agree to submit to mediation or arbitration in [Insert Jurisdiction].

13. Miscellaneous

This Agreement represents the entire understanding between the Client and Developer and supersedes all prior agreements.
